Terms of Service

Effective date: 1 July 2026

These Terms of Service govern use of the Braddon IT (Wholesale) online store and purchases from Braddon Pty Ltd (ABN 77 645 898 264), trading as Braddon IT (Wholesale). Nothing in these Terms excludes rights that cannot lawfully be excluded.

1. About these Terms

These Terms form an agreement between Braddon Pty Ltd trading as Braddon IT (Wholesale) (we, us or our) and each person or organisation that accesses our website, creates an account, requests a quote or places an order (you or your).

By using the website or submitting an order, you agree to these Terms. If you place an order for an organisation, you confirm that you are authorised to bind that organisation. If you do not agree, you must not use the website or place an order.

A separate written agreement, accepted quote or credit-account agreement may contain additional terms. If there is an inconsistency, the specifically negotiated written agreement prevails to the extent of the inconsistency.

2. Consumer and small-business protections

The Australian Consumer Law (ACL) and other laws may give consumers and eligible small businesses rights and remedies that cannot be excluded, restricted or modified. These Terms operate subject to those rights.

Where a provision of these Terms would otherwise exclude or limit a non-excludable right, that provision is to be read down or does not apply to the extent necessary to comply with law.

3. Accounts and eligibility

You must provide complete, current and accurate information when creating an account or checking out. Individual customers must be at least 18 years old and legally capable of entering a contract.

You are responsible for keeping login credentials secure and for activity performed through your account, except to the extent the activity results from our breach of law or failure to take reasonable security measures. You must notify us promptly if you suspect unauthorised use.

We may verify account information and may decline or suspend an account where reasonably necessary to prevent fraud, comply with law, protect system security or address a material breach of these Terms. We will provide notice where reasonably practicable.

4. Business accounts and authorised users

A business account may only be used by people authorised by that business. The business is responsible for managing its users and notifying us when access should be removed.

Business account pricing, credit limits, purchase-order requirements and payment terms apply only if confirmed by us in writing. Approval of an account does not oblige us to accept any particular order or extend credit.

Unless agreed otherwise, users purchasing for resale remain responsible for their own customer terms, tax obligations, export controls, product representations and compliance obligations.

5. Product information and suitability

We take reasonable care to present product descriptions, specifications, images and compatibility information accurately. Some information is provided by manufacturers or interstate warehouses and may change without notice. Images may be illustrative, and colour or packaging may vary.

You are responsible for checking that a product is suitable and compatible with your intended environment before ordering. If you tell us a particular purpose and rely on our written recommendation, any applicable ACL rights remain unaffected.

Manufacturer names, product names and trademarks belong to their respective owners. Their appearance on the website does not, by itself, imply endorsement or that we act as the manufacturer’s agent.

6. Prices, GST, freight and quotations

Prices are in Australian dollars. Website prices include GST unless clearly stated otherwise. Business quotations may show prices exclusive of GST, with GST and other charges itemised separately.

Delivery charges are calculated separately using the available warehouse or carrier estimate and will be displayed at checkout or stated in the quotation before you place the order. We will not add undisclosed mandatory charges after an order is accepted.

A quotation is valid for the period stated in it and is subject to stock availability. Unless a quote expressly states otherwise, it is an invitation to place an order and not a guarantee of allocation.

8. Orders and acceptance

Submitting an order is an offer to purchase the listed goods on these Terms. An automated acknowledgement confirms receipt only. A contract for an item is formed when we send an express order acceptance or dispatch confirmation for that item.

We may reasonably decline an order before acceptance because of unavailable stock, a warehouse restriction, an obvious error, failed payment, suspected fraud, delivery limitations or legal and compliance requirements. We will explain the reason where lawful and practicable and promptly release or refund any payment for declined items.

After acceptance, an order may only be changed or cancelled with our agreement, subject always to rights available under the ACL. Custom-configured, licensed, activated or specially procured products may not be cancellable for change of mind once fulfilment has begun.

9. Payment

You must pay using a payment method offered at checkout or under separately approved credit terms. Payment service providers may perform authorisation, fraud and security checks under their own terms and privacy notices.

For approved credit accounts, invoices are payable by the due date stated on the invoice. If an undisputed amount is overdue, we may suspend further credit supply after reasonable notice. We may recover reasonable external collection costs caused by the overdue amount to the extent permitted by law.

You must notify us promptly of a genuine invoice dispute and pay any undisputed portion on time. We will work in good faith to resolve disputed amounts.

10. Delivery and direct fulfilment

We deliver to eligible Australian addresses unless we agree otherwise in writing. We may use our interstate warehouse network, other interstate warehouses, fulfilment partners and carriers to send goods directly to you or your nominated recipient. Braddon IT (Wholesale) remains the seller under the customer contract.

You authorise us to provide the recipient’s name, company name, contact details, address and delivery instructions to parties reasonably required to fulfil and deliver the order.

You must provide a safe, accessible and accurate delivery address. Additional reasonable costs caused by an incorrect address, refused delivery or repeated failed delivery may be charged where the failure is not caused by us or the carrier and where permitted by law.

11. Delivery times and split shipments

Delivery dates are estimates unless we expressly agree in writing that a date is guaranteed. We will use reasonable efforts to meet estimates and notify you of material delays that become known to us.

An order may be supplied in separate shipments from different warehouses or warehouse partners. You will not be charged more than the delivery amount agreed at checkout unless you approve an additional charge.

If we cannot supply an accepted order within a reasonable time, you may have cancellation, refund or other rights under the ACL. Nothing in these Terms limits those rights.

12. Title, risk and delivery evidence

Risk in physical goods passes when the goods are delivered to the address you nominated or collected by you. Title passes when we have received cleared payment in full for those goods, except where law provides otherwise.

A carrier scan, signature, photograph or other delivery record may be used as evidence of delivery, but it is not conclusive if you provide credible evidence that delivery did not occur.

13. Checking deliveries

Please check delivered goods promptly and contact us as soon as practicable if an item is missing, damaged in transit or different from what was ordered. Early notice helps us investigate with the carrier or warehouse operator.

A failure to notify us within a stated administrative timeframe does not remove any right or remedy that cannot lawfully be excluded, including rights under the ACL.

14. Change-of-mind returns

We are not required to provide a remedy merely because you changed your mind, ordered an incompatible product without relying on our advice or found a lower price elsewhere. We may nevertheless approve a change-of-mind return under our Returns Policy.

Any approved change-of-mind return may be subject to reasonable conditions notified before approval, including return authorisation, unopened and resaleable condition, return freight and a reasonable warehouse restocking charge. These conditions do not apply where the return relates to a failure to meet a statutory guarantee.

15. Faulty goods and Australian Consumer Law remedies

Goods supplied to consumers come with guarantees that cannot be excluded under the ACL, including guarantees as to acceptable quality, correspondence with description and fitness for a disclosed purpose where applicable.

Where goods fail to meet an applicable consumer guarantee, the available remedy may include repair, replacement, refund or compensation depending on the circumstances and whether the failure is major or minor. We will not require a consumer to deal only with the manufacturer.

Contact us before returning goods where practicable. We may reasonably request proof of purchase and information needed to assess the issue. Where goods are confirmed to have a problem covered by the ACL, we will meet reasonable return costs as required by law.

16. Manufacturer warranties

A product may include a manufacturer warranty. Any manufacturer warranty is additional to, and does not replace, rights under the ACL.

We may assist with a manufacturer warranty process, but we remain responsible for providing any remedy the law requires us, as the seller, to provide. Warranty coverage may depend on serial numbers, registration, approved use and manufacturer conditions that are consistent with law.

17. Software, licences, warranties and vendor-required information

Software, cloud subscriptions, digital licences, support plans and extended warranties may be subject to separate manufacturer or vendor terms. You must review and comply with those terms.

Some products require accurate end-user, contact, device, tenancy, domain or licensing information before an order can be processed. You authorise us to provide that information to the relevant warehouse operator, manufacturer or service provider for quoting, provisioning, compliance, support and renewal administration.

Activated, registered or issued digital products may not be returnable for change of mind. This does not exclude remedies available under the ACL or another applicable law.

18. Privacy and communications

We handle personal information as described in our Privacy Policy and applicable law. Our Privacy Policy should be read with these Terms but does not form part of the customer contract unless stated otherwise.

We may use and disclose information to operate accounts, process payments, prevent fraud, fulfil orders, arrange delivery, provide support, comply with law and administer product warranties or licences. Recipients may include WooCommerce, WordPress and other technology providers, payment processors, interstate warehouses, manufacturers and carriers.

Service communications about accounts, security, orders, delivery, recalls and support are not marketing messages. Marketing communications will be sent only as permitted by law, and you may unsubscribe using the method provided.

19. Website use

You must not misuse the website, interfere with its security or operation, introduce malicious code, scrape or harvest data at unreasonable scale, attempt unauthorised access, impersonate another person or use the website for unlawful or fraudulent activity.

We may restrict access where reasonably necessary to protect customers, systems, warehouse partners or legal compliance. The website may occasionally be unavailable for maintenance, security events or circumstances beyond our reasonable control.

20. Intellectual property

We or our licensors own the website, Braddon IT branding, original text, layout, software and other content, excluding third-party product material and trademarks. You may use the website for legitimate evaluation and purchase of products but may not reproduce or commercially exploit our content without permission or another lawful basis.

If you provide reviews, feedback or other content, you retain ownership. You grant us a non-exclusive, royalty-free licence to display and use that content for operating and promoting the store, subject to our Privacy Policy. You confirm that your content is lawful and does not infringe another person’s rights.

21. Liability

Nothing in these Terms excludes or limits liability, rights or remedies that cannot lawfully be excluded or limited, including under the ACL.

To the extent permitted by law, neither party is liable to the other for indirect or consequential loss that was not reasonably foreseeable when the contract was formed. This does not limit liability for fraud, wilful misconduct, breach of confidentiality or privacy obligations, infringement of intellectual property rights, personal injury, or loss caused by a party’s negligence where liability cannot lawfully be limited.

Where the law permits a remedy for services supplied to a business to be limited, our liability may be limited to resupplying the services or paying the reasonable cost of having them resupplied. Any limitation applies only to the extent it is fair and reasonable and permitted by law.

22. Events outside reasonable control

Neither party is responsible for delay or failure caused by an event outside its reasonable control, except for obligations to pay amounts already due. The affected party must take reasonable steps to minimise the impact and resume performance.

If such an event prevents us from supplying an accepted order within a reasonable time, we will offer the options and remedies required by law, which may include cancellation and refund for the unsupplied goods.

23. Suspension and termination

You may stop using the website at any time and may request account closure, subject to outstanding orders, invoices, legal retention requirements and our Privacy Policy.

We may suspend or close an account on reasonable notice for a material or repeated breach, non-payment, fraud, security risk or legal requirement. Where appropriate, we will give you a reasonable opportunity to remedy the breach. Closure does not affect accrued rights or accepted orders unless cancellation is lawful and reasonably necessary.

24. Changes to these Terms

We may update these Terms prospectively to reflect legal, operational or service changes. The updated version will state its effective date and will apply to website use and orders submitted after that date.

The terms applying to an accepted order will not be changed retrospectively unless both parties agree or the change is required by law. We will give account holders reasonable notice of material changes where practicable.

25. Complaints and disputes

Please contact us first and provide the order number, relevant facts and requested outcome. We will acknowledge the complaint and try to resolve it promptly and in good faith.

If a dispute is not resolved, either party may use any court, tribunal, regulator, consumer-protection body or other process available by law. Nothing in this clause requires a consumer or protected small business to give up a statutory forum or remedy.

26. General

Notices. We may send order and account notices to the email address associated with your account. You must keep that address current.

Assignment. You may not assign an accepted order without our consent, which will not be unreasonably withheld. We may assign our rights and obligations as part of a genuine business transfer if this does not materially reduce your rights.

Severability. If a provision is invalid or unenforceable, it is to be read down where possible and otherwise severed without affecting the remaining provisions.

No waiver. A failure or delay in exercising a right is not a waiver of that right.

Entire agreement. These Terms, the accepted order or quote, and any applicable written account agreement record the agreement about the relevant purchase, subject to rights arising by law.

27. Governing law

These Terms are governed by the laws of the Australian Capital Territory and the Commonwealth of Australia. Subject to any non-excludable right to bring proceedings elsewhere, the parties submit to the courts and tribunals having jurisdiction in the Australian Capital Territory.
